I think it's high mileage, has a massive amount of owners which will hit it come re-sale time, and something smells funny (or that could be my usual cynicism). Possibly he's been offered low 20s against the CL500 he wants (if that's a legit story) and is trying to get a bit more for it this way. It has SatNav, HK and Heated Seats, so it's got a few options, but I'd want to see a LOT of paperwork and probably speak to at least one previous owner before I parted with 25k in folding stuff for it.
Personally, given that "M3 Convertible Manual 2001(51) 13,648 Carbon Black Black Nappa Leather £29,995 " is available right now off a dealer's forecourt (at a third of the mileage and almost certainly fewer owners) for probably 28-29k + extras if you haggle hard, I'd say it's a no-brainer walk-away unless you do low mileage and are gonna keep the car for a few years to bring the average mileage down and thin out the one-owner-per-year thing.
